1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you — whether personally or on behalf of an entity — and Krysalith Engine, concerning your access to and use of the website located at krysalithengine.com, as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto. By accessing the site, you acknowledge that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms of Service, you are expressly prohibited from using the site and must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the site from time to time are hereby expressly incorporated herein by reference. Krysalith Engine reserves the right, in its sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. It is your responsibility to periodically review these Terms of Service to stay informed of any updates.

The site is intended for users who are at least 18 years of age. Persons under the age of 18 are not permitted to use or register for the site. By using this site, you represent and warrant that you are at least 18 years of age and that your use of the site will not violate any applicable law or regulation.

2. Scope of Services

Krysalith Engine provides specialized robotics software engineering services, including but not limited to physics simulation engine development, robot control middleware architecture, robotics software architecture consulting, and navigation and SLAM algorithm development. The scope, deliverables, timeline, and compensation structure for any specific engagement are defined exclusively through a separate, written Statement of Work or Service Agreement executed by both parties.

The information presented on this website constitutes a general description of capabilities and does not constitute an offer to provide any specific service at any specific price or timeline. All pricing information presented is indicative and subject to change based on project complexity, scope, and technical requirements determined during the scoping process.

2.1 Service Delivery

All engineering services are delivered remotely unless otherwise specified in writing. Krysalith Engine operates from Louisville, Kentucky, and all service agreements are subject to the laws of the Commonwealth of Kentucky. Timelines, milestones, and acceptance criteria are established collaboratively during the project inception phase and formalized in the governing Statement of Work.

2.2 Intellectual Property Rights in Deliverables

Unless otherwise explicitly specified in a governing Statement of Work, all source code, algorithms, documentation, architectural designs, and other deliverables produced by Krysalith Engine remain the intellectual property of Krysalith Engine until full payment for the relevant milestone or project has been received in cleared funds. Upon receipt of full payment, and subject to the terms of the applicable service agreement, a license or assignment of rights as specified therein shall be granted to the client.

3. Intellectual Property

Unless otherwise indicated, the site and all content thereon — including but not limited to source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics — is owned or licensed by Krysalith Engine and is protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

The Krysalith Engine name, the company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Krysalith Engine. You may not use such marks without prior written permission. All other names, logos, product and service names, designs, and slogans on this site are the trademarks of their respective owners.

Provided that you are eligible to use the site, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the site and to download or print a copy of any portion of the content to which you have properly gained access solely for your personal, non-commercial use. Krysalith Engine reserves all rights not expressly granted to you in and to the site and content.

4. User Representations

By using the site, you represent and warrant that:

• All registration information you submit is true, accurate, current, and complete
• You will maintain the accuracy of such information and promptly update it as necessary
• You have the legal capacity and agree to comply with these Terms of Service
• You are not a minor in the jurisdiction in which you reside
• You will not access the site through automated or non-human means, whether through a bot, script, or otherwise
• You will not use the site for any illegal or unauthorized purpose
• Your use of the site will not violate any applicable law or regulation
• You are not located in a country that is subject to a United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country
• You are not listed on any United States government list of prohibited or restricted parties

If you provide any information that is untrue, inaccurate, not current, or incomplete, Krysalith Engine has the right to suspend or terminate your access to the site and refuse any and all current or future use of the site.

5. Prohibited Activities

You may not access or use the site for any purpose other than that for which Krysalith Engine makes the site available. The site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by Krysalith Engine. As a user of the site, you agree not to:

1. Systematically retrieve data or other content from the site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from Krysalith Engine
2. Make any unauthorized use of the site, including collecting usernames or email addresses of users by electronic or other means for the purpose of sending unsolicited communications
3. Use the site to advertise or offer to sell goods and services
4. Circumvent, disable, or otherwise interfere with security-related features of the site, including features that prevent or restrict the use or copying of any content or enforce limitations on the use of the site or content therein
5. Engage in unauthorized framing of or linking to the site
6. Trick, defraud, or mislead Krysalith Engine and other users, especially in any attempt to learn sensitive account information
7. Make improper use of Krysalith Engine support services or submit false reports of abuse or misconduct
8. Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools
9. Interfere with, disrupt, or create an undue burden on the site or the networks or services connected to the site
10. Use the site as part of any effort to compete with Krysalith Engine or otherwise use the site or content for any revenue-generating endeavor or commercial enterprise without express written authorization
11. Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the site
12. Attempt to bypass any measures of the site designed to prevent or restrict access to the site, or any portion of the site
13. Harass, annoy, intimidate, or threaten any of the employees or agents of Krysalith Engine engaged in providing any portion of the site to you
14. Delete the copyright or other proprietary rights notice from any content
15. Upload or transmit (or attempt to upload or transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming, that interferes with any party's uninterrupted use and enjoyment of the site
16. Use the site in a manner inconsistent with any applicable laws or regulations

6. Site Management

Krysalith Engine reserves the right, but not the obligation, to monitor the site for violations of these Terms of Service and to take appropriate legal action against anyone who, in Krysalith Engine's sole discretion, violates the law or these Terms of Service, including without limitation, reporting such user to law enforcement authorities.

Krysalith Engine further reserves the right to manage the site in a manner designed to protect the rights and property of Krysalith Engine and to facilitate the proper functioning of the site. This includes the right to refuse or restrict access to the site to anyone, for any reason, at any time, in Krysalith Engine's sole discretion.

7. Privacy Policy

Krysalith Engine cares about data privacy and security. By using the site, you agree to be bound by the Krysalith Engine Privacy Policy, which is incorporated into these Terms of Service and available at /pages/privacy-policy. Please note that the site is hosted in the United States. If you access the site from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the site, you are transferring your data to the United States, and you expressly consent to have your data transferred to and processed in the United States.

8. Term and Termination

These Terms of Service shall remain in full force and effect while you use the site. Without limiting any other provision of these Terms of Service, Krysalith Engine reserves the right to, in its sole discretion and without notice or liability, deny access to and use of the site (including blocking certain IP addresses), to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms of Service or of any applicable law or regulation.

Krysalith Engine may terminate your use or participation in the site or delete any content or information that you posted at any time, without warning, in Krysalith Engine's sole discretion. If Krysalith Engine terminates or suspends your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party.

In addition to terminating or suspending your account, Krysalith Engine reserves the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress. Any obligations and liabilities of the parties incurred prior to the date of termination shall survive the termination of this agreement for all purposes.

9. Modifications and Interruptions

Krysalith Engine reserves the right to change, modify, or remove the contents of the site at any time or for any reason at its sole discretion without notice. Krysalith Engine also reserves the right to modify or discontinue all or part of the site without notice at any time. Krysalith Engine will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the site.

Krysalith Engine cannot guarantee the site will be available at all times. Krysalith Engine may experience hardware, software, or other problems, or need to perform maintenance related to the site, resulting in interruptions, delays, or errors. Krysalith Engine reserves the right to change, revise, update, suspend, discontinue, or otherwise modify the site at any time or for any reason without notice to you. You agree that Krysalith Engine has no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the site during any downtime or discontinuance of the site.

10. Disclaimer of Warranties

The site is provided on an as-is and as-available basis. You agree that your use of the site and Krysalith Engine's services will be at your sole risk. To the fullest extent permitted by law, Krysalith Engine disclaims all warranties, express or implied, in connection with the site and your use thereof, including without limitation the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Krysalith Engine makes no warranties or representations about the accuracy or completeness of the site's content or the content of any websites linked to the site, and Krysalith Engine will assume no liability or responsibility for any errors, mistakes, or inaccuracies of content and materials, personal injury or property damage of any nature whatsoever resulting from your access to and use of the site, any unauthorized access to or use of Krysalith Engine's secure servers, or any personal information or financial information stored therein.

11. Limitations of Liability

In no event will Krysalith Engine or its directors, employees, contractors, agents, suppliers, or licensors be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site, even if Krysalith Engine has been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, Krysalith Engine's liability to you for any cause whatsoever and regardless of the form of the action will at all times be limited to the amount paid, if any, by you to Krysalith Engine during the six-month period prior to any cause of action arising.

12. Indemnification

You agree to defend, indemnify, and hold Krysalith Engine harmless, including its subsidiaries, affiliates, and all of its respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of the site, breach of these Terms of Service, any breach of your representations and warranties set forth in these Terms of Service, or your violation of the rights of a third party, including but not limited to intellectual property rights.

13. Governing Law and Dispute Resolution

These Terms of Service and your use of the site are governed by and construed in accordance with the laws of the Commonwealth of Kentucky applicable to agreements made and to be entirely performed within the Commonwealth of Kentucky, without regard to its conflict of law principles. Any legal action of whatever nature brought by either you or Krysalith Engine shall be commenced or prosecuted in the state and federal courts located in Jefferson County, Kentucky, and the parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.

The parties agree to attempt in good faith to resolve any dispute arising out of these Terms of Service through negotiation. If the parties are unable to resolve any dispute through good-faith negotiation within thirty days of written notice of the dispute, the parties agree to submit to binding arbitration in Louisville, Kentucky, in accordance with the Commercial Arbitration Rules of the American Arbitration Association, before proceeding to litigation.

14. Miscellaneous

These Terms of Service and any policies or operating rules posted by Krysalith Engine on the site or in respect to the site constitute the entire agreement and understanding between you and Krysalith Engine. The failure of Krysalith Engine to exercise or enforce any right or provision of these Terms of Service shall not operate as a waiver of such right or provision.

These Terms of Service operate to the fullest extent permissible by law. Krysalith Engine may assign any or all of its rights and obligations to others at any time. Krysalith Engine shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond Krysalith Engine's reasonable control.

If any provision or part of a provision of these Terms of Service is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Service and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and Krysalith Engine as a result of these Terms of Service or use of the site. These Terms of Service will not be construed against Krysalith Engine by virtue of having drafted them.
